Terms and Conditions UK

General:

1.1 Ravenbridge Limited (hereinafter called the "Supplier") accept all orders subject only to the terms and conditions herein contained. Any variations to this Agreement must be confirmed in writing by Ravenbridge Limited. Any other terms and conditions are excluded.

1.2 The "Buyer" a person or Company buying products from us.

Pricing & Quotations:

2.1 The price of goods & services shall be in the Suppliers quoted price at the time of acceptance of order.

2.2 The price is exclusive of any applicable Value Added Tax or local Taxes which the Buyer shall be additionally liable to pay to the Supplier

2.3 Ravenbridge installation and support services will be charged on a time and materials basis. Estimates may be quoted for budgetary purposes based on our experience in the industry. Charges will however, reflect the hours actually worked and any premium rates that may apply for non-standard hours working, exceptional travel or expenses or special conditions. Any variation to this will be documented in our proposal to the Buyer.

2.4 Quotations are valid for a period of 30 days unless otherwise stated.

Delivery & Acceptance:

3.1 Any times quoted for delivery or completion are to be treated as estimates only, although every effort will be made to fulfil delivery/completion dates, no liability arising from delay is accepted by the Supplier.

3.2 Product received by the Buyer must be reasonably inspected for any defects or non conformity within 7 days. After this period the Buyer will have accepted the product.

Risk & Title:

4.1 The risk of loss or damage to goods or software supplied by the Supplier shall pass to the Buyer when they are delivered to the Buyers site, unless otherwise agreed.

4.2 Ownership of the goods shall remain with the Supplier (who reserves the right to recover any equipment) until payment in full for the goods, materials and services provided under this Contract and all previous Contracts has been received by the Supplier in accordance with these terms and conditions of sale.

Payment:

5.1 All accounts are strictly net and payable 30 days from date of invoice, unless otherwise stated in the associated proposal. The Supplier reserves the right to implement an interest charge at 2% above the minimum lending rate per month on all monies outstanding and charge all reasonable monies incurred in recovery of such. The right of set off shall be deemed to apply on all outstanding monies.

Contingencies:

6.1 The Supplier shall not be responsible for non-performance of the product, nor under liability to the Buyer in respect of such non-performance, if the same is of any cause beyond the control of the Supplier. In such cases any essential follow-up activity from Ravenbridge will be chargeable at applicable rates.

Confidentiality & Data Protection:

7.1 Each party must treat all information received from the other marked "confidential" or reasonably obvious to be confidential, as it would treat its own confidential material.

7.2 Your data will be held and/or transferred in strict accordance with the data protection laws and Ravenbridges data protection registration.

Legal

8.1 Unless otherwise agreed in writing the contract shall in all respects be construed and operate as an English Contract and in conformity with English Law.
